⚖️ Legal Definition of Net Proceeds
- Strict Waterfall Definition: Defined in operating agreements as gross collections less platform/sales fees, recoupable distribution expenses, deferred debts, and investor equity.
- Disbursement Schedule: Payouts issued semi-annually or quarterly alongside formal royalty statements.
🚪 How to Fold & Dissolve the C-Corp
- Assign Receivables: Transfer long-tail distribution contracts and copyright from the C-Corp to your primary production company or personal Schedule C.
- File Certificate of Dissolution: File Form DISS STK with the CA Secretary of State to terminate the $800/yr franchise tax liability.
- Final Tax Return: Check the "Final Return" box on Form 1120/100 to close corporate accounts cleanly.
